DESPATCH
The Seller will use its best endeavour to despatch the goods on the specified despatch date but such date is an estimate only and the Seller accepts no liability in the event that it is unable to meet the despatch date.
PAYMENT
Unless otherwise stated on the Seller invoice, goods invoiced are due for settlement within 30 days net from the invoice date.
PROMPT PAYMENT IS AN ESSENTIAL PART OF THE CONTRACT
If payment is made after the due date the Seller may at its option charge interest at the rate of 2% per month or part of a month of the total invoiced value for the period that payment is overdue. All legal and other costs in collecting payment shall be recoverable from the Buyer as a debt in addition to the amount outstanding.
PRICES
All prices quoted by the Seller to the Buyer shall be exclusive of all taxes, duties and levies whatsoever, but inclusive of carriage to the buyer within the United Kingdom. The Seller reserves the right to increase prices between the date of the order and the despatch date to reflect increased costs arising from currency fluctuation, raw material prices, labour rates or any other cause whatsoever.
WARRANTY AND LIABILITY
In the event of any of the goods proving to the reasonable satisfaction to the Seller to be defective as a result of faulty workmanship or material within 12 months from invoice date and at the Sellers option, the goods will either be replaced free of charge, or credit will be passed on to the account of the buyer for the invoiced value of the goods. In no circumstances will the Seller liability exceed the invoiced value of the defective goods.
PASSING OF RISK AND TITLE
Goods remain the property of the Seller until all debts owed to the Seller by the Buyer are settled but the goods shall on delivery be at the sole risk of the Buyer who shall insure and keep insured against all and every risk. Goods unpaid for shall, at the risk of the Seller be delivered immediately to the Sellers address, who shall in addition have the right during normal business hours to enter the land or building of the Buyer to recover the goods not paid for. Where the goods are in the possession of a third party the Buyer agrees to use his best endeavours to enable the Seller to enter such land or buildings to recover the goods, failure to comply will be deemed as accepting responsibility to the Seller for the debt outstanding to the company. The Buyer, as and from delivery and until payment in full for the goods has been made, shall also be responsible for any depreciation, in the value of the goods for any damage caused should payment in full not be made.
